Service Agreement
This Service Agreement (hereinafter referred to as the "Agreement") is entered into by and between:
Placetools.com (hereinafter referred to as the "Service Provider"), a company duly organized and existing under the laws of the European Union, with its registered office at 256 B Street 45 Newyork, New York, and The Client (hereinafter referred to as "Client"), a natural or legal person who gains access to the services provided by the Service Provider and uses them on Placetools.com.
The Service Provider and the Client are hereinafter collectively referred to as the "Parties" and individually as the "Party".
WHEREAS the Service Provider operates an online service using artificial intelligence technology to process and prepare photos for various types of documents according to their respective requirements;
WHEREAS the Client wishes to use the services provided by the Service Provider in accordance with the terms and conditions set forth in this Agreement;
THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1.1 The Service Provider will provide the Client with an online platform through which the Client can purchase prompts (hereinafter referred to as "Services").
1.2 The Services include both free and paid offerings, depending on the type of prompts intended for it. The Client should be able to choose the desired level of service, and any associated fees will be clearly stated before the Services are provided.
2.1 The Client will provide the Service Provider with the appropriate photo for processing in accordance with any guidelines or specifications provided by the Service Provider. 2.2 The Client warrants that it has the legal right to use and upload the photo, and that the photo does not infringe upon any third party's intellectual property rights or any applicable laws.
3.1 The Client will pay any applicable Service fees as indicated in the service selection process in accordance with the payment methods accepted by the Service Provider.
3.2 If the Client is dissatisfied with the Services due to poor processing or non-compliance with the requirements of the intended document, the Client may request a refund by contacting the Service Provider's Customer Support within a reasonable time not exceeding fourteen (14) days from the date the service is completed.
3.3 The Service Provider will consider any requests for reimbursement on a case-by-case basis and will issue a refund, in whole or in part, at its sole discretion.
4.1 The Client acknowledges and agrees that the Service Provider and its licensors retain all ownership rights to the Services, including, but not limited to, the artificial intelligence technology used for photo processing.
4.2 The Service Provider grants the Client a non-exclusive, non-transferable, revocable, and limited license to access and use the Services for the Client's personal or internal business purposes in accordance with the terms and conditions of this Agreement.
5.1 The Service Provider will process the Client's personal data in compliance with the applicable data protection laws of the European Union, including, but not limited to, the General Data Protection Regulation (GDPR).
5.2 The Service Provider's Privacy Policy, which is available on its website, provides more detailed information about the processing of personal data and the Client's rights regarding their personal data.
6.1 To the maximum extent permitted by law, the Service Provider's liability for any claims arising out of or in connection with this Agreement is limited to the amount paid by the Client for the Services.
7.1 This Agreement is governed by and will be interpreted in accordance with the laws of the European Union.
7.2 Any disputes arising out of or in connection with this Agreement will be resolved through amicable negotiations between the Parties. If the Parties fail to resolve the dispute within thirty (30) days, either party may refer the dispute to the competent courts of the European Union.
8.1 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, between the Parties with respect to the subject matter of this Agreement.
8.2 The Service Provider reserves the right to change the terms and conditions of this Agreement at any time, with or without notice to the Client. The Client's continued use of the Services constitutes acceptance of any such changes.
